Free tool · Operator terms

Is your management agreement working for you — or for the operator?

Eighteen owner-side checks across fees, term and exit, the performance test, owner protections and who controls the money. Answer in five minutes, get a score, and see the suggested move for every red flag.

—Answer the checks to compute the score0 of 18 checks

Answer Yes, No or Not sure for each check. The score only counts what you answer, so it is honest about what you reviewed. Nothing is uploaded — the checklist runs in your browser.

    What the scorecard checks

    The fee stack
Base fee level, incentive fee hurdles, the definition of the fee base, and stacked royalty, marketing and loyalty fees. Fees are the quiet line between a good asset and a mediocre one.
    Term and exit
Contract length, termination for convenience, key money, and the cost of leaving early. Long terms with no exit are the single most expensive mistake owners make.
    Performance test
Whether you can change an underperforming operator at all. A two-year RevPAR index test against a defined comp set, with a termination right, is the standard we negotiate to.
    Owner protections
Budget approval, CAPEX consent, freedom to take independent advice, and audit rights over the operator's accounts.
    Money and risk
Who controls the FF&E reserve and the bank accounts, how liability is balanced, and whether insurance must go through the operator's affiliates.

Checking the economics too? The Investment Studio models what a fee structure does to your net income, and the glossary explains every term used here.

    Frequently asked questions

What does the HMA scorecard check?

Eighteen owner-side red flags across five areas of a hotel management agreement: the fee stack, term and exit rights, the performance test, owner protections and who controls the money. For every flag you mark, the tool suggests the negotiation move.

    What is a good score?

Above 80 means broadly standard market terms. Between 60 and 80 means terms worth negotiating. Below 60 means clear red flags are present and the agreement needs professional review before you sign or renew.

    Is my data stored?

No. The scorecard runs entirely in your browser. Nothing is sent anywhere unless you choose to submit the request form above, and only the score and flagged topics travel — never the agreement itself.

    Does this replace legal advice?

No. It is a structured first read from the owner's side. Have a lawyer review the final draft of any management agreement before you sign it.

    Negotiate from numbers, not hope.
